We are looking for an exceptional attorney to become our corporate counsel. Reporting to senior management directly you will work closely with business executives and compliance teams, with your primary responsibilities including mergers & acquisitions, venture investments, strategic transactions, review of MOU’s, SAFT’s and whatever other projects are needed.

Job Duties

  • Supporting legal work for corporate development activities at all stages of an M&A deal, from transaction structuring and term sheet negotiation to due diligence, definitive agreement negotiation, and post-closing integration.
  • Supporting legal work for ventures investments.
  • Supporting legal work for other corporate strategic transactions, including joint ventures, portfolio project legal documents  etc.
  • General corporate governance, including matters pertaining to regulated and non-regulated domestic and international entity governance.
  • Provide creative, innovative, and effective legal solutions for business stakeholders on routinely short timelines.
  • Be an outstanding collaborator with colleagues in legal, finance, accounting, corporate development, compliance, tax, equity, compensation and other areas.

Job Requirements

  • Approximately three or more years of relevant corporate legal experience at a leading firm, or comparable in house practice, with exposure to high growth fintech/crypto  companies.

A successful candidate is an Excel wizard who is able to pick up new concepts quickly, think of creative solutions, and handle anything that comes their way even if they have never seen it before. Crypto is the bleeding edge of finance, and we have to do accounting for decentralized finance platforms ourselves because fund administrators do not have a good understanding of it yet. There is no prior experience that will prepare you for this new frontier.

Responsibilities:

  • Work with fund senior management to produce a position report and NAV regularly and track the companies budget, vesting schedule and distribution of portcos 
  • Manually keep track of transactions that are unsupported by software solutions
  • Transform exchange trade history CSVs into a format that software will accept
  • Coordinate with outside accounting and auditing firms as needed.
  • Advise and assist company software engineers with maintenance, improvement of internal position management, valuation of investments, and account software.
  • Help evaluate third party solutions such from accounting viewpoint
  • Manage and reconcile company crypto exchange accounts, bank accounts, investment positions and process transactions
  • Monitor accounts receivables and payables, and monitor expenses.
  • Oversee payroll process
  • Oversee the preparation of company tax returns

Job requirements

Director/Head of Strategic Partnerships

Responsibilities:

 

  • Research the crypto landscape in target markets to choose the best partners for our project.
  • Lead customized technical integration agreement structuring and negotiation with our blockchain, cryptocurrency, gaming partners.
  • Provide a strategic perspective to product and engineering teams, delivering critical business insights and launching initiatives that impact the market.
  • Work alongside marketing and development teams to develop the comprehensive set of partners needed for company growth

Head of Operations – Project Manager

Responsibilities

 

  • Collaborate with the Co-Founders and cross-functional team leads to deeply understand the business, generate operational designs, and ensure their successful execution.

Program Manager – Head of Incubation Program

What You’ll Do

  • Set the overall plan and strategy for the GamesPad Incubation Program and execute on that plan
  • Recruit, vet, and select participants for the Program, in conjunction with internal and external experts
  • Manage the day to day operations – run the program, including working closely with investors, mentors, advisors to understand their needs and support them throughout their time in the program
  • Identify, recruit and onboard mentors and advisors for the program; work to match projects to advisors and mentors and set up meetings for developers with experts across industry 
  • Assist in managing project cycles from start to finish (tokenomics creation, pitch deck, legal documentation etc)
  • Work closely with leadership to develop new strategies, assess program strengths and address areas for improvement
  • Design processes, playbooks, and policies to standardize and scale the program

What We’re Looking For

  • 3-5 years + previous startup / tech experience, ideally in an operations-based role
  • Ability to lead a small team and manage the program from beginning to end – project management and client-facing experience are ideal, alongside being a quick learner (system thinker)

Senior/Staff Accountant

What you’ll do:

  • Lead fund, launchpad accounting function
  • Manage Shadow Accounting OR Full NAV Reconciliation process
  • Reconcile all portfolio and cash activity to source data
  • Ensure fund expenses are accrued timely and in accordance with GAAP
  • Review investor allocations and ensure fee/allocations are booked accurately
  • Review prepare quarterly net asset value reporting
  • Liaise with auditors to ensure completion of audits 
  • Joint-Ventures (JV) quarterly reconciliations
  • Audit our records for completeness and accuracy of all JVs / Vehicles that will be doing distributions.

 

Who you are:

  • 3-5 years of fund, partnership accounting or relevant crypto project (CPA preferred)
  • Experience in both venture capital and crypto preferred
  • Experience managing multiple projects, engagements and teams
